EXPLANATORY NOTE

This Registration Statement relates to an earlier filing for an employee benefit plan, Dominion Energy Manchester Street Union Savings Plan (formerly Dominion Energy New England Union Savings Plan) (the Plan), and increases the number of shares of common stock, without par value, authorized and reserved for issuance thereunder by 150,000 shares. Pursuant to General Instruction E of Form S-8, the contents of the Registrant’s Form S-8 Registration Statements Nos. 333-130566, 333-156027, 333-189580 and 333-203952 are incorporated herein by reference except as amended hereby.
